Terms of Service

These terms govern your use of donkey.trade (the “Site”) and the quoting and supplier-check services offered on it (together, the “Service”), operated by Donkey (“Donkey,” “we,” “us”). By using the Site or submitting a request, you agree to these terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business.

1. The Service

Donkey is a trading company that provides factory-direct supply for US importers. Through the Site you can request a delivered price for a product (by sending a photo and details) or ask us to check whether a supplier is a factory or a trading company. The Service is intended for businesses, not consumers.

2. Quotes are not offers

A quote we send you is an estimate prepared in good faith from the information you provide. It is not a binding offer to sell. A purchase happens only when both sides confirm a written order, and each order is governed by its own order terms (price, quantity, specifications, delivery, and remedies), which control over these terms for that order.

3. Supplier checks

Supplier-check results are provided for your information, free of charge, based on records and sources available to us at the time. They are our good-faith assessment, not a guarantee, audit, or professional advice, and you remain responsible for your own supplier decisions.

4. What you send us

You are responsible for the accuracy of the information you submit and you confirm that you have the right to share it — including any photos — and that sharing it does not violate anyone else’s rights or any confidentiality obligation. You grant us permission to use what you submit to prepare your quote or supplier check, including sharing it with the factories and partners we work with for that purpose.

5. Acceptable use

• Do not use the Site to send unlawful, infringing, or deceptive material.
• Do not probe, disrupt, or attempt to gain unauthorized access to the Site.
• Do not scrape or bulk-harvest content or submit automated spam requests.

6. Intellectual property

The Site and its content — text, design, logos, and graphics — belong to Donkey or its licensors. You may not copy or reuse them for commercial purposes without our written permission. You keep all rights to the material you submit to us.

7. Disclaimers

The Site and the free parts of the Service are provided “as is” and “as available,” without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not promise that the Site will be uninterrupted or error-free.

8. Limitation of liability

To the fullest extent permitted by law, Donkey will not be liable for indirect, incidental, consequential, or punitive damages, or lost profits, arising from your use of the Site or the free parts of the Service. Liability for confirmed purchase orders is addressed in the order terms for that order.

9. Changes

We may update these terms from time to time. The date above shows when they last changed. Continuing to use the Site after a change means you accept the updated terms.

10. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
